After so many tests in a 64bit system on which I received kernel senseless (at least for me) falls of numbers and letters I re-installed my original 32bit (with PAE for full memory access) and the original stock driver works like a charm.
I think the main reason for that panic is that WINXP drivers are 32bit ONLY and so on 64bit system no Belkin play can do ndiswrapper :)
Of course if someone finds the driver maybe it can work but the original one is perfect for linux 32bit.
Some notes on my distribution/hardware:

If you download that package at

you will find the 64bit version of driver. By adding with ndiswrapper, everything works.
